Directors as Trustees of Company's Powers and Properties: Understanding the Justification for Fiduciary Duties

Directors are trustees of their companies, with the effect that they stand in a fiduciary relationship companies and, ipso facto , owed to duties no conflict interests and self-profit. Directors’ legal consequences for breach articulated case law provided statutes common jurisdictions such as Nigeria United Kingdom. However, it is not self-evident why directors thrust into relationship, justification company. This article seeks establish functional basis understanding concept, flow from relationships answer definition or description fiduciary. In particular, this probes juridical company directors.
